The State Statistics Service has initiated the final dissolution of the Unified State Register of Legal Entities and Individual Entrepreneurs: what are the reasons?

The State Statistics Service of Ukraine has submitted a draft resolution of the Cabinet of Ministers titled “On Declaring Resolution No. 118 of the Cabinet of Ministers of Ukraine dated January 22, 1996, to Be No Longer in Force” to the State Regulatory Service for approval, according to "Komersant Ukrainian".
The aforementioned Cabinet of Ministers of Ukraine Resolution No. 118 of January 22, 1996, is titled “On the Creation of the Unified State Register of Enterprises and Organizations of Ukraine,” and it was on this basis that the Unified State Register of Enterprises and Organizations of Ukraine was established. With its repeal, the USREOU will cease to exist.
For a long time, the USREOU served as the primary tool for registering business entities. However, with the introduction of the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Organizations (USR), which is administered by the Ministry of Justice, the State Statistics Service’s functions in this area have become redundant.
According to the draft resolution published on the agency’s website, the key objective is to implement the Law “On Public Electronic Registers.” The state aims to eliminate “non-core functions” of statistical agencies and resolve the confusion caused by the existence of two parallel identification systems.
The draft resolution contains a clear algorithm for the “digital farewell” to the EDRPOU:
- CMU Resolution No. 118 of 1996 is repealed.
- All registry information and documents in the National Archival Fund will undergo an assessment of their value and will be transferred to the State Archives.
- Within two weeks of the resolution taking effect, the State Statistics Service must officially notify the public of the registry’s termination.
According to the regulatory impact analysis, nothing will change for 85.5% of businesses (which is over 1.5 million legal entities)—they are already registered in the “new” EDRPOU in accordance with current legislation.
However, there are still 14.5% (about 225,100) organizations for which no information is available in the USR. These are predominantly older entities that did not undergo re-registration after 2004.
“Given that all relations arising in the sphere of state registration of legal entities are governed by the Law of Ukraine ‘On State Registration of Legal Entities, Individual Entrepreneurs, and Public Organizations’ (hereinafter—the Law), pursuant to which information on legal entities is entered into the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Organizations (USR) following their state registration, “Legal consequences for entities registered in the USRLE but whose information is not included in the USR will be provided for by amendments to the Law,” the document states.
The effective date has not yet been finalized. The resolution will take effect simultaneously with the entry into force of amendments to the Law of Ukraine “On State Registration of Legal Entities, Individual Entrepreneurs, and Public Organizations” and following its official publication. Currently, the draft is undergoing public discussion and coordination with the State Regulatory Service, the National Agency for Corruption Prevention, and the Ministry of Digital Transformation.
Comments and suggestions regarding the draft are being accepted on the official website of the State Statistics Service. A follow-up assessment of the reform’s effectiveness is planned to be conducted one year after its launch to definitively confirm the termination of the EDRPOU’s operations.
