Another independent member has left Energoatom’s supervisory board: what is the reason?

Bris Boyon, an independent member of the supervisory board of NAEK “Energoatom,” has submitted his resignation. This was reported by the company’s press service, according to "Komersant Ukrainian".
“The Supervisory Board of JSC NAEK Energoatom announces that independent member of the Supervisory Board Patrick Fragman has decided to terminate his term early,” the statement reads.

Patrick Fragman joined Energoatom’s independent Supervisory Board following a competitive selection process, thanks to his many years of international experience in nuclear energy, the management of large energy companies, and the development of nuclear projects.
“The decision to terminate his term early is related to Patrick Fragman’s new professional commitments, specifically a full-time job offer. At the same time, the current stage of Energoatom’s work requires a significant level of commitment from Supervisory Board members and their regular participation in the work of the company’s corporate governance bodies,” Energoatom reported.
According to the statement, the Supervisory Board is currently working on a number of priority issues, including an analysis of the company’s financial condition, a review of the investment program and financial plan, updating approaches to strategic development, strengthening corporate governance systems, and renewing the company’s management.
The company notes that during his time on the Supervisory Board, Patrick Fragman made a significant contribution to its activities, particularly in analyzing the company’s financial situation, evaluating the investment program, and shaping approaches to Energoatom’s future development.
“The Supervisory Board expresses its gratitude to Patrick Fragman for his professional work, expertise, and support for the development of Ukraine’s nuclear energy sector.”
In accordance with established procedures, to ensure the continuity of the Supervisory Board’s work, a selection process has already been initiated to fill the position of independent member of the Supervisory Board, which has become vacant due to the early termination of Patrick Fragman’s term.

The selection will be based on the results of a previously conducted competitive selection process, which will allow for the prompt appointment of a new member of the Supervisory Board without launching a full competitive cycle, Energoatom reported.
This is the second resignation in a week. Earlier, on May 15, Patrick Fragman, an independent member of the Supervisory Board of NAEK “Energoatom,” terminated his powers early.
“The decision to terminate his term early is related to Patrick Fragman’s new professional obligations, specifically a full-time job offer. At the same time, the current stage of Energoatom’s work requires a significant level of commitment from members of the supervisory board and their regular participation in the work of the company’s corporate governance bodies,” the statement noted at the time.
The company’s press service stated that Fragman “made an important contribution to its activities, particularly in analyzing the company’s financial situation, evaluating the investment program, and developing approaches to Energoatom’s further development.”
The selection of a new member of the supervisory board has already been initiated based on the results of a previous competition.
“The selection will be based on the results of the competitive selection process that has already taken place, which will allow for the prompt appointment of a new member of the supervisory board without launching a full competitive cycle,” the company added.
On May 14, MP Yaroslav Zheleznyak reported that two independent members of Energoatom’s supervisory board—Patrick Fragman and Brice Buyon—had resigned. The MP claimed that they had not been paid their salaries for three months.
In late January, the government appointed a new composition of the supervisory board of the state-owned company Energoatom. At that time, Rumina Velshi, Laura Garbenchute-Bakiene, Patrick Fragman, and Brice Buyon became independent members of the supervisory board.
The state representatives selected were Deputy Minister of Economy Vitaliy Kindrativ, Head of the State Agency for the Restoration and Development of Infrastructure of Ukraine Serhiy Sukhomlyn, and State Secretary of the Ministry of Energy of Ukraine Maksym Malashkin.

The company operates four nuclear power plants—Zaporizhzhia, Rivne, South Ukraine, and Khmelnytskyi—which house 15 nuclear power units (13 VVER-1000 units and two VVER-440 units) with a total installed capacity of 13,835 MW. The company also includes the Tashlyk Hydroelectric Power Plant (453 MW), the Oleksandrivka Hydroelectric Power Plant (25 MW), and the Centralized Spent Nuclear Fuel Storage Facility in the Chernobyl zone.
