U.S.-Ukraine Investment Fund: Business Community Calls for Disclosure of Key Terms

The European Business Association has requested that the Ministry of Economy and the Public-Private Partnership Agency provide information and copies of the commercial partnership agreements under the U.S.-Ukraine Reconstruction Investment Fund, which was signed on April 30, 2025, and ratified by the Verkhovna Rada. This was reported by the EBA press service, according to "Komersant Ukrainian".

The documents in question pertain to a limited partnership and the establishment of a limited liability company within the investment fund.

The fund was established to stimulate investment in critical sectors of the Ukrainian economy with a focus on reconstruction. At the same time, certain provisions of the limited partnership agreement provide for the imposition of conditions when issuing licenses for subsoil use, including the possibility of requirements regarding the conclusion of agreements for the purchase of extracted products.

“This partnership is intended to stimulate investment in critical sectors of Ukraine’s economy for its reconstruction. At the same time, provisions of the Limited Partnership Agreement provide for the introduction of certain conditions when issuing subsoil use licenses, specifically regarding the conclusion of agreements for the purchase of extracted products.

The business community emphasizes that such provisions may directly affect the activities of subsoil users, the competitive environment, and the investment attractiveness of the extractive industry,” the statement reads.

Separately, the association notes that the PPP Agency has classified documents related to the agreements as official information.

At the same time, the business community cites legislation on access to public information, which provides for the disclosure of certain data even in cases of restricted access to specific provisions, and also defines clear grounds for the “for official use only” classification.

The association believes that the content of the agreements is of public importance, as it establishes the rules for investors and subsoil users in Ukraine, and calls for the disclosure of the relevant documents.

The letter was sent to Oleksiy Sobolev, Minister of Economy, Environment, and Agriculture of Ukraine, and Niko Gachechiladze, Director of the PPP Agency.

The U.S.-Ukraine Reconstruction Investment Fund was established under an intergovernmental agreement signed on April 30, 2025, and ratified by the Verkhovna Rada. Its goal is to attract private and international investment to rebuild the economy, infrastructure, and strategic sectors.

Following the signing of the framework agreement, the parties announced the conclusion of additional documents between the DFC and the PPP Agency, which define the partnership structure and the fund’s operating mechanisms.
